The terms and conditions as set out in this Terms of Service govern and apply to all users of this e-commerce website (eshop.bda-e.com) (“Site”) for the sale of products and provision of services through the Site (collectively referred to as the “Services”).
This Site is owned and operated by BDA+EC Pte Ltd (UEN 202000936D), a company incorporated in the Republic of Singapore, and its parents, affiliates and/or franchisors (collectively referred to as “BDA”, “we”, “our” or “us”).
BDA reserves the right to modify these Terms and Conditions at any time without notice, and such changes shall be deemed effective immediately upon posting of the modified Terms and Conditions. You should regularly review these Terms and Conditions to ensure that you are aware of, understand and accept any changes made. Your continued use of this Site and/or the Services and Downloadable Contents following the posting of changes to these Terms and Conditions will indicate your acceptance those changes.
1. Account Creation and Information
1.2 If you provide any registration information that is untrue, inaccurate, not current, or incomplete, or if BDA has a reasonable ground to suspect that such information is untrue, inaccurate, not current, or incomplete, BDA has the right to suspend or terminate your account(s) and refuse any and all current or future use of this Site and/or the Services and Downloadable Contents.
1.3 You may choose to create a username, password and/or account designation (“Account Credentials”) in order to make purchases or otherwise use this Site, Services and/or Downloadable Contents. If you choose to create Account Credentials, you are responsible for maintaining the confidentiality of your Account Credentials and are fully responsible for any and all interactions and activity when you, or any third party, access this Site using your Account Credentials. If you allow third parties to access this Site through use of your Account Credentials, you agree to defend and indemnify BDA against any liability, costs, or damages, including legal fees, arising out of claims or suits by such third parties based upon or relating to such access and use. You agree to (a) immediately notify BDA of any unauthorized use of your Account Credentials or any other breach of security, and (b) ensure that you exit from your account(s) at the end of each session. BDA cannot and will not be liable for any loss or damage arising from your failure to comply with this condition.
1.4 BDA reserves the right to suspend or terminate your account(s) and refuse any or all current or future use of this Site and/or the Services and Downloadable Contents in the event of any breach of the Terms and Conditions herein.
2. Availability of Services and Downloadable Contents
2.1 BDA reserves the right to temporarily or permanently remove any of the Services and Downloadable Contents at any time without notice.
2.2 Pictures and images on this Site are for illustration purposes only. You should check the product description and specifications carefully before making any purchases.
3.1 You must provide BDA with a current and valid payment method acceptable to BDA to purchase Services on this Site. This does not waive our right to seek payment directly from you through any other methods should the offered payment method fails.
3.2 All prices, fees and charges in respect of the Services shall be subject to all prevailing statutory taxes, duties, fees, charges and/or costs as may be in force at the material time.
3.3 All payments in respect of our Services shall be paid without set-off or counterclaim and free and clear of and without deduction or withholding for any taxes, levies, duties, fees or other charges of whatsoever nature imposed by any governmental authorities as well as all interest, penalties or similar liabilities with respect thereto.
4. Ownership and Copyright
4.1 The contents of the Site including but not limited to the Services and Downloadable Contents, computer programs, source and object code, documentation, software graphics, text, images, designs, videos, sound, illustrations, animations, databases, logos, domain names, trade names and trade identities as well as third party resources (collectively referred to as the “Contents”) are the property of BDA and/or its licensors, and are protected by copyright and/or other intellectual property rights.
4.2 The Contents may only be used for the intended purpose for which they are being made available. Use of the Contents by you or anyone else authorized by you is prohibited unless specifically permitted by these Terms and Conditions or specifically provided for elsewhere on this Site. Any unauthorized use of the Contents may violate copyright and/or other intellectual property rights.
4.3 A single copy of the Downloadable Contents may be downloaded or otherwise copied from the Site for non-commercial personal use only, provided however that all copyright and other proprietary rights are kept intact. Any further copying, reproduction, publication, posting, transmission or distribution of any part of the Downloadable Contents in any way is prohibited. Except as provided herein, no
license or right, express or implied, is granted to any person under any intellectual property right. Except as authorized under the copyright laws, you are responsible for obtaining permission before reusing any copyrighted material that is available through this Site. 4.4 The Contents may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed without the prior written permission of BDA, except as provided herein. Deep-linking, embedding or using analogous technology is strictly prohibited. You are prohibited from posting to or transmitting from the Site any unlawful, threatening, libellous, defamatory, obscene, indecent, inflammatory, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law. You are responsible for complying with all local rules, laws, and regulations including without limitation, rules about intellectual property rights, the Internet, technology, data, electronic mail, publicity and privacy. You agree that you will not use any device, software or other instruments to interfere or attempt to interfere with the proper working of the Site, and that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. In addition, you may not use any robot, spider, other automatic device, or manual process to monitor, copy or scrape any of our web pages or the content contained herein without the prior express written consent from an authorized executive of BDA. You agree you will not interfere or attempt to interfere with or damage, impair or disable the operation of this Site by any means, including but not limited to providing links to third party sites or uploading or otherwise disseminating viruses, worms, spyware, adware or other malicious code. You may also not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of this Site or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. You may not make any unsolicited offers, request, advertisements, or spam.
4.5 You represent, warrant and agree that you will comply with the above acceptable use requirements. In addition to any remedies that we may have at law or in equity, if we determine, in our sole discretion, that you have violated or are likely to violate the foregoing prohibitions, we may take any action we deem necessary to cure or prevent the violation, including without limitation, the immediate removal of the related materials from this Site.
5. Accuracy of Information
5.1 We attempt to ensure that information provided on this Site is complete, accurate and current. BDA shall not be responsible for any errors or omissions in the Contents.
6. Intellectual Property Rights
6.1 We will not knowingly list any Services or Downloadable Contents that infringes the intellectual property rights of third parties without their prior consent.
6.2 If you believe that your intellectual property rights or the intellectual property rights of other intellectual property owners are being infringed, please contact BDA and provide the following information to enable us to make investigations and to address your claims : (a) evidence of ownership of the intellectual property rights claimed, (b) description of the nature of the alleged infringement, (c) your contact information to enable us to contact you after making due investigations, and (d) your undertaking that you will indemnify us for any damages that we may suffer as a result of the claims made by you should the alleged infringement be proven mistaken or false.
7. Proprietary Rights
7.1 BDA does not claim ownership of any user content that you provide to BDA (including feedback and suggestions) or post, upload, input, or submit to this Site (“User Content”). Unless otherwise specified, you retain copyright and any other rights you already hold over User Content that you create and submit, post, or display on or through this Site. However, by submitting, posting, or displaying User Content, you give BDA, its sub-licensees, and successors and assigns a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display, distribute, reproduce, edit, reformat, and create derivative works from any User Content that you submit, post, or display on or through the Services. You acknowledge and agree that this license includes a right for BDA to make such User Content available to other companies, organizations, or individuals with whom BDA has relationships, and to use such User Content in connection with the provision of those services.

8.1 This Site may allow connectivity (e.g., via links or references) to websites, platforms, and applications maintained and controlled by third parties ("Third Party Sites") over whom BDA has no control. These Third Party Sites may collect and use data from you such as content or personal information. Any content or personal information you provide when using these Third Party Sites is subject to the terms and conditions and privacy policies of these Third Party Sites. Inclusion of any link to Third Party Sites within this Site does not imply an endorsement or recommendation of any material, substance, information, practice, or the owner or proprietor of such Third Party Sites by BDA. BDA makes no representations or warranties of any kind as to the accuracy, currency, or completeness of any information contained in such Third Party Sites and shall have no liability for any damages or injuries of any kind arising from the use of such Third Party Sites or any content or information contained in such Third Party Sites. 9. Limitation of Liability

(2) BDA MAKES NO WARRANTY THAT (a) THE SERVICES AND MATERIALS WILL MEET YOUR REQUIREMENTS; (b) THIS SITE WILL BE UNINTERRUPTED, TIMELY, UNFAILINGLY SECURE, OR ERROR-FREE; (c) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THIS SITE WILL BE ACCURATE OR RELIABLE; (d) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER ITEMS PURCHASED OR OBTAINED BY YOU THROUGH THIS SITE WILL MEET YOUR EXPECTATIONS AND (e) ANY ERRORS IN THE SITE WILL BE CORRECTED. 11.1 In the event that you have a dispute with one or more other users of this Site, you agree to release BDA including its directors, officers, employees and agents ("Indemnified Parties") from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
12.1 You agree to indemnify, defend and hold the Indemnified Parties from and against all demands, liabilities, judgments, fines, interest, penalties, damages, losses, costs, claims or expenses (including, without limitation, legal fees and fees of other professional advisers) resulting from (i) your online conduct and use of this Site and Contents; (ii) your violation, breach or alleged breach of these Terms and Conditions; (iii) your failure to comply with any applicable laws or regulations; (iv) your negligence, wilful misconduct, or violation of the intellectual property or other rights of any persons, including without limitation, copyright and trademark infringement, obscene or indecent postings, and online defamation; or (v) any of your dealings or transactions with other persons resulting from use of this Site. You will be required to completely and fully indemnify the Indemnified Parties for its losses.
13.1 BDA uses third party service providers/vendors for deliveries of the Services purchased and by making purchases on this Site, you hereby agree to our Delivery Terms and Conditions made available on this Site.
14.1 For returns, if any, you should return the unassembled item in its original packaging within fifteen (15) days of receipt by you of the same together with proof of purchase for an exchange, replacement or a full refund at our discretion. The cost of returning the item shall be borne by you.
14.2 Our return policy does not apply to design, space planning and visual-merchandising services; custom-built products; fabrics; electronic & electrical appliances; fragile products like mirrors or porcelain; custom made wall systems, shelving, structures; products with custom logo printing; damages items resulting from misuse, abuse, wear and tear; incorrect self assembly and products damaged after leaving the store. 15.1 No cancellation can be done once the order is paid for and confirmed.
16. Event of Force Majeure
16.1 Save as otherwise specifically provided for in these Terms and Conditions, BDA shall not be liable for any failure or delay in delivery and/or in the performance of any of our obligations herein in the event of Force Majeure. An event of Force Majeure shall refer to any cause or reason beyond the reasonable control of BDA, including without limitation an act of God, outbreak or epidemic of any kind, strike, flood, fire, act of terrorism, insurrection or war, embargo, shortage of fuel, gas, electricity, raw materials and/or labour, interruption of communications and transportation, governmental order or similar circumstances.
17. Changes to the Terms and Conditions
17.1 BDA may make changes to the Terms and Conditions from time to time. When these changes are made, BDA will make a new copy of the Terms and Conditions available on its website and on this Site, and any new additional terms will also be made available to registered users via their registered emails with BDA.
17.2 You acknowledge and agree that if you use this Site after the date on which the Terms and Conditions have changed, BDA will treat your continued use as acceptance of the updated Terms and Conditions.
18.1 If any provision of this Terms and Conditions is prohibited by law or judged by a competent court to be unlawful, void or unenforceable, the provisions shall, to the extent required, be severed from this Terms and Conditions and rendered ineffective without modifying the remaining provisions of this Terms and Conditions which shall remain valid and enforceable.
19. Governing Law and Dispute Resolution
19.1 Irrespective of the country from which Users access this Site, the use of this Site and the Terms of Service herein shall be governed in accordance with the laws of Singapore without regard to choice of jurisdiction or conflict of laws principles. Users hereby agree to submit to the jurisdiction of the courts of Singapore to resolve any claims or disputes which may arise in connection with the use of this Site.

We do not sell personal information to third parties.

You can set your preferences in your online profile in our websites.

DELIVERY TERMS & CONDITIONS
1. Delivery Information
BDA uses independent service providers ("Delivery Company') to perform deliveries. By selecting the delivery option at check-out, you agree to have your purchase and delivery information, including your address and contact information, transmitted to the Delivery Company.
2. When will I receive my delivery?
Some areas may take longer due to distance as well as frequency of deliveries to the delivery postal code. Due to COVID-19 rules and regulations, delivery times may be delayed.
When the Delivery Company receives your order and is ready to schedule a delivery date, they will attempt to contact you at the telephone number that you provided in your order. At that time, they will let you know what days of the week they are able to deliver to your area. Deliveries will be made between the hours of 8am and 10pm on the delivery day you select. The delivery company will call you prior to the scheduled delivery and will provide you with an approximate time window. The Delivery Company will make every effort to deliver within the time window provided.
3. What am I responsible for upon delivery?
Examine your order upon delivery to ensure that there are no visible signs of damaged,missing or incorrect pieces. In the event that there are missing, damaged or incorrect packages, please retain the item(s), indicate the problem and contact us within 48 hours of your delivery. For any other problem with your order, please refer to our Return Policy.
4. Can I make changes to the delivery address after I place my order?
We cannot make any changes to the delivery address once your online order is placed. Orders placed online or over the phone begin processing immediately in our system to ensure order fulfilment and shipping time. If the delivery address must be changed, your order will have to be cancelled and then replaced. We apologize for any inconvenience.

5. Parcel Deliveries
BDA uses a third party vendor ("Postal Carrier") to perform parcel deliveries. By selecting the parcel delivery option at check-out, you agree to have your purchase and delivery information, including your address and contact information, transmitted to the Postal Carrier.
6. What am I responsible for upon delivery of my parcel?
Examine your order upon delivery to ensure that there are no visible signs of damaged, missing or incorrect pieces. In the event that there are missing, damaged or incorrect packages, please contact us within 48 hours of your delivery. For any other problem with your order, please refer to our Return Policy.
7. Self-Collect Policy
When using Self-Collection, you will receive an email when your order is ready for pick up. Your order must be picked up no later than 5：30 p.m. local time, unless otherwise notified. For your safety and the safety of our co-workers, please do not come to the store to pick up your order until you have received notification that your order is ready.
You can add an alternate pick-up person at the time of your purchase. To collect the order, the alternate pick-up person must bring their government-issued photo ID and a copy of your order confirmation displaying their name. For the security of your order, we cannot change your alternate pick-up person after the order is placed. Only you or the alternate pick-up person identified may collect your order. You must have your order number when you pick-up your order.
It is important that you pick up your purchase on the selected pick-up date. BDA will not be liable for any late-delivery charges due to late pick up and can re-arrange pick up date by contacting our Customer Service Team.
Please consider the size of your vehicle, as your order may be larger and heavier than expected due to packaging.
CUSTOMS, DUTIES & TAXES
The recipient is the importer of record and must comply with all laws and regulations of the destination. Orders shipped outside of China may be subject to import taxes, customs duties and fees levied by the destination country. The recipient of an international shipment may be subject to such import taxes, customs duties and fees, which are levied once a shipment reaches the recipient's country. Additional charges for customs clearance must be fulfilled by the recipient; BDA has no control over these charges, nor can BDA predict what they may be.
Customs policies vary widely; you should contact your local customs office for more information. When customs clearance procedures are required, it can cause delays beyond our original delivery estimates.
